Terms Of Service & End-User License Agreement

These Terms of Service (“Terms”) govern access to and use of TrueFlight, a software platform owned and operated by Aviation Software Inc., including all websites, mobile applications, APIs, and related services (collectively, the “Platform”).

By creating an account, installing the mobile application, clicking acceptance, or otherwise using the Platform, you agree to be legally bound by these Terms. If you do not agree, do not use the Platform.

1. COMPANY INFORMATION

Aviation Software Inc.

A Delaware corporation

(“Aviation Software,” “TrueFlight,” “we,” “us,” or “our”)

TrueFlight is a proprietary software product, brand, and platform owned and operated by Aviation Software Inc.

TrueFlight is not a separate legal entity.

2. DEFINITIONS

“Platform”

The TrueFlight software platform, including web applications, mobile applications (iOS and Android), APIs, integrations, messaging tools, and related services.

“Organization”

Any flight school, flying club, operator, training organization, or aviation-related entity using the Platform.

“User”

Any individual who accesses or uses the Platform, whether on their own behalf or on behalf of an Organization.

“User Data”

All information submitted to, generated by, or stored within the Platform, including scheduling, operational, billing, training, and aircraft-related data.

3. ACCEPTANCE & AUTHORITY

By using the Platform, you represent that:

  • You are at least 18 years old
  • You have authority to bind any Organization you represent
  • Your use complies with applicable law

If you lack authority, you may not use the Platform on behalf of an Organization.

4. ROLE OF AVIATION SOFTWARE INC.

Aviation Software Inc., through the TrueFlight Platform, provides software tools only.

Aviation Software Inc. does not act as, and expressly disclaims responsibility as, any of the following:

  • A flight school, instructor, or training provider
  • An aircraft operator, dispatcher, or air carrier
  • A maintenance provider or inspector
  • A financial institution, escrow agent, or bank
  • A regulatory authority or compliance certifier
  • An insurer or guarantor of safety

All aviation operations, training decisions, billing practices, aircraft condition, and regulatory compliance remain solely the responsibility of Users and Organizations.

5. PLATFORM ACCESS & CHANGES

The Platform is delivered via internet-based systems. Availability is not guaranteed.

We may modify, suspend, or discontinue any portion of the Platform at any time, with or without notice.

6. LICENSE GRANT

Aviation Software Inc., through the TrueFlight Platform, provides software tools only.

Aviation Software Inc. does not act as, and expressly disclaims responsibility as, any of the following:

  • A flight school, instructor, or training provider
  • An aircraft operator, dispatcher, or air carrier
  • A maintenance provider or inspector
  • A financial institution, escrow agent, or bank
  • A regulatory authority or compliance certifier
  • An insurer or guarantor of safety

All aviation operations, training decisions, billing practices, aircraft condition, and regulatory compliance remain solely the responsibility of Users and Organizations.

7. PROHIBITED USES

You may not:

  • Copy, reverse engineer, or create derivative works of the Platform
  • Use the Platform to build or support a competing product
  • Scrape, harvest, or automate access
  • Resell, sublicense, or commercially exploit access
  • Circumvent security or authentication mechanisms
  • Upload malicious code or disrupt Platform operations
  • Use the Platform unlawfully

All rights not expressly granted are reserved by Aviation Software Inc.

8. ACCOUNTS & SECURITY

You are responsible for:

  • Maintaining the confidentiality of credentials
  • All activity occurring under your account
  • Keeping information accurate and current

Aviation Software Inc. is not liable for unauthorized account use.

9. USER DATA & OWNERSHIP

9.1 Ownership

Users and Organizations retain ownership of their User Data.

9.2 License to Aviation Software Inc.

You grant Aviation Software Inc. a worldwide, royalty-free license to host, process, analyze, transmit, and display User Data solely for purposes of operating, securing, maintaining, and improving the Platform.

9.3 Responsibility

You remain solely responsible for the accuracy, legality, and appropriate use of User Data.

10. PAYMENTS, FEES & NEGATIVE BALANCES

10.1 Organization-Controlled Charges

All pricing, dues, penalties, and billing rules imposed on Users are established by Organizations — not Aviation Software Inc.

10.2 Platform Fees

All fees charged by Aviation Software Inc. for use of the Platform, including subscriptions, processing fees, convenience fees, and usage fees, are non-refundable, except where required by law.

10.3 Payment Methods & Authorization

By providing a payment method, you authorize Aviation Software Inc. and its payment processors to automatically charge that method for:

  • Amounts owed to Aviation Software Inc.
  • Platform fees
  • Any negative or outstanding account balances

10.4 Negative Balances

The Platform may permit accounts to carry negative balances. You expressly authorize future charges to recover any outstanding amounts.

10.5 Payment Processors

Payments are processed by third-party providers. Aviation Software Inc. is not responsible for processor errors, chargebacks, holds, reversals, or delays.

11. MOBILE APPLICATION & APP STORE TERMS

If you access the Platform via a mobile application:

  • These Terms apply in full
  • Apple and Google are not parties to this Agreement
  • Aviation Software Inc. is solely responsible for the Platform
  • App Store providers have no obligation to provide maintenance or support

12. REGULATORY & SAFETY DISCLAIMERS

The Platform does not certify compliance with FAA, TSA, or other aviation regulations.

Aviation Software Inc. does not verify:

  • Aircraft airworthiness
  • Pilot or instructor qualifications
  • Maintenance accuracy
  • Flight legality

All flight-related decisions remain the sole responsibility of Users and Organizations.

13. THIRD-PARTY SERVICES

The Platform relies on third-party infrastructure and services. Aviation Software Inc. is not responsible for disruptions or failures caused by those systems.

14. INTELLECTUAL PROPERTY

The Platform, the TrueFlight name, and all related intellectual property are owned by Aviation Software Inc. or its licensors. No ownership rights are transferred under these Terms.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Aviation Software Inc. from all claims arising from:

  • Use of the Platform
  • User Data
  • Violations of law or these Terms
  • Aviation operations or incidents
  • Disputes with Organizations

16. WARRANTY DISCLAIMER

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • Aviation Software Inc.’s total liability is limited to fees paid in the prior three (3) months
  • No liability for indirect, incidental, or consequential damages
  • No liability for acts or omissions of Organizations or third parties

18. ARBITRATION & JURY WAIVER

PLEASE READ CAREFULLY.

All disputes shall be resolved by binding arbitration, not in court.

  • No class actions
  • No jury trials
  • Arbitration administered by AAA
  • Venue: Delaware

You knowingly waive the right to a jury trial.

19. TERMINATION

Aviation Software Inc. may suspend or terminate access at any time for any reason. Data access may be lost upon termination.

20. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
